Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On April 25, 2024, Gérard Ber, Ph.D., notified Y-mAbs Therapeutics, Inc. (the “Company”) that he would be resigning from the Board of Directors of the Company, with such resignation to be effective on June 10, 2024, the day before the date set for the Company’s 2024 annual meeting of stockholders. Dr. Ber’s resignation is not due to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices. It is expected that Dr. Ber will make himself available to the Company following his resignation for consultation and advice. The Company thanks Dr. Ber for his commitment and service to the Company.
